Agreement to MFA (eFleetPass) Corporate Account Terms and Conditions
The MFA (eFleetPass) Corporate Account holder named above has read, understood and agrees to be bound by these MFA (eFleetPass) Terms and Conditions, including the obligation to pay MFA (eFleetPass) for all Tolls and Fees incurred by Hirers under their MFA (eFleetPass) Customer Agreements (including a service fee for each calendar day on which the Vehicle incurs a Toll).

1. Definitions
   In these MFA (eFleetPass) Corporate Account Terms and Conditions: Corporate Account means Your account with Rental Co for the payment of rental charges and other amounts owing by Hirers under or in connection with their Rental Agreement. Corporate Account Number means the unique number allocated to You by Rental Co, which when quoted by a Hirer allows Rental Co to charge Your Corporate Account for the rental of the vehicle.
   Dishonour Fee means:
   1. in relation to payment by cheque, a fee of $20.00; and
   2. in relation to payment by money order, a fee of $25.00.
   Fees has the meaning given to it in the MFA (eFleetPass) Customer Agreement. Hirer means one of Your employees and/or other persons who nominate your Corporate Account Number at the time of renting a vehicle from Rental Co.
   MFA (eFleetPass) means MFA. MFA Motorway Holdings Pty Ltd (trading as eFleetPass) ABN 87 639 253 857 MFA (eFleetPass) Corporate Account means the account opened for You by MFA (eFleetPass) in accordance with these MFA (eFleetPass) Corporate Account Terms and Conditions. MFA (eFleetPass) Customer Agreement means the agreement between a Hirer and MFA (eFleetPass) comprising the "MFA (eFleetPass) Tolling Service Terms and Conditions” for the payment of Tolls and Fees. MFA (eFleetPass) Tolling Service means the tolling facility provided to a Hirer by MFA (eFleetPass). Rental Agreement means the document issued by Rental Co to and, where applicable, signed by a Hirer for the rental of a vehicle which sets out the relevant details and rental fees, costs, charges and other amounts payable by the Hirer. Rental Co means Toll means all toll charges or other fees and charges, including video matching fees, imposed by the operator of a toll road for, or taxes payable in respect of, each Trip taken by the Vehicle during the period in which You have hired the Vehicle. Video Matching Fee means the fee charged by a toll road per trip to a motor vehicle owner or driver when a Rental Co vehicle linked to an MFA toll account travels on a toll road, but no Tag was detected.
2. Agreements with MFA (eFleetPass)
   Rental Co has been appointed by MFA (eFleetPass) as its agent for the purpose of MFA (eFleetPass) entering into:
   1. the MFA (eFleetPass) Customer Agreement with a Hirer; and
   2. in consideration of MFA (eFleetPass) providing the MFA (eFleetPass) Tolling Service to each Hirer, a separate contract with You on the terms of these MFA (eFleetPass) Corporate Account Terms and Conditions to, among other things, pay the Tolls, Fees and other amounts incurred by a Hirer under their MFA (eFleetPass) Customer Agreement.
3. Terms
   1. MFA (eFleetPass) Customer Agreement is a separate contract between MFA (eFleetPass) and the Hirer and is subject to the terms of the MFA (eFleetPass) Customer Agreement.
   2. Subject to these MFA (eFleetPass) Corporate Account Terms and Conditions, You must ensure that each Hirer complies with all the terms of the MFA (eFleetPass) Customer Agreement.
   3. You authorise MFA (eFleetPass) to debit Your MFA (eFleetPass) Corporate Account with, and must pay to MFA (eFleetPass), all Tolls, Fees and other Page 3 amounts owing to MFA (eFleetPass) under or in connection with each MFA (eFleetPass) Customer Agreement, including a service fee (currently $5.50 (including GST)) for each calendar day on which a vehicle incurs a Toll during the period of rental.
   4. Part of the service fee referred to in clause 3(c) is paid by MFA (eFleetPass) to Rental Co.
   5. The presentation by a Hirer of their Corporate Account Number is Your authority to MFA (eFleetPass) to debit all Tolls, Fees and other amounts incurred by the Hirer under or in connection with their MFA (eFleetPass) Customer Agreements to Your MFA (eFleetPass) Corporate Account.
   6. MFA (eFleetPass) will issue a monthly tax invoice to You directly for all Tolls, Fees and other amounts owing by Hirers under or in connection with their MFA (eFleetPass) Customer Agreements.
   7. You must pay MFA (eFleetPass) the amount of the invoice (including GST) within 30 days from the day of the invoice.
   8. If You do not pay within 30 days of the date of the invoice. You are liable for all collection costs incurred by MFA (eFleetPass) including, but not limited to reasonable legal fees.
   9. If You pay by cheque or money order and that cheque or money order is dishonoured by the issuer, You will be charged a Dishonour Fee by MFA (eFleetPass) and You may be charged fees, charges and interest by Your financial institution.
   10. You must ensure that a Hirer does not use any other tag or tolling product of any other toll provider in a Rental Co rental vehicle.
   11. MFA (eFleetPass) may vary these MFA (eFleetPass) Corporate Account Terms and Conditions by notice from Rental Co (as MFA’s (eFleetPass) agent) or MFA (eFleetPass). You accept any variation of these MFA (eFleetPass) Corporate Account Terms and Conditions if a Hirer uses their Corporate Account Number after You have received notice.
   12. Subject to clause 3(m), either You or MFA (eFleetPass) may terminate these MFA (eFleetPass) Corporate Account Terms and Conditions by giving 7 days' notice to the other party. Upon termination, You remain liable for any amounts due to MFA (eFleetPass) under these MFA (eFleetPass) Corporate Account Terms and Conditions and a MFA (eFleetPass) Customer Agreement entered into on or prior to the date on which termination takes effect.
   13. MFA (eFleetPass) may suspend or terminate Your MFA (eFleetPass) Corporate Account if You breach these MFA (eFleetPass) Corporate Account Terms and Conditions or if a Hirer breaches the MFA (eFleetPass) Customer Agreement.
   14. These MFA (eFleetPass) Corporate Account Terms and Conditions are governed by the laws of New South Wales and You agree to submit to the nonexclusive jurisdiction of the courts exercising jurisdiction there.
